9. Dolphin Capital GmbH has received a “1” credit rating in both of the years 2012 & 2013.
10. The Dolphin Capital GmbH Investment Scheme is considered to be an unregulated scheme. This means that when Investors choose to invest into this Scheme, they are investing in a scheme that is not authorised or approved by the Financial Conduct Authority (FCA). Accordingly Investors do not have the protection of the FCA’s Financial Compensation Scheme or access to the Financial Ombudsman. All Investors are responsible for undertaking their own due diligence and investigations in respect of the Investment and satisfying themselves with the risks associated with the Investment. In doing so, Dolphin Capital strongly recommends that Investors take whatever professional advice they deem appropriate and necessary, including without limitation advice from an Independent Financial Advisor authorised by the FCA to give advice in respect of such investments.

B. HOW THE DOLPHIN CAPITAL GmbH INVESTMENT WORKS
Dolphin Capital GmbH has a proven track record in development of the specialist asset class of German Listed Buildings. At a basic level, this works takes place as follows:
1. Dolphin Capital GmbH sources appropriate German Listed Buildings and carries out detailed due diligence on the building. There is a strict set of criteria that proposed building projects must match up against in order for the project to be taken on by Dolphin Capital GmbH.
2. Dolphin Capital GmbH will only consider the purchase of the proposed German Listed Building if a German Bank has approved finance for the German end buyer.
3. If the proposed German Listed Building meets the required criteria and a German Bank has approved finance for the end German Buyer, UK Investors’ money is used to purchase the listed building and associated costs.
4. All Investor funds are sent to and managed by BOTTERMANN KHORRAMI a Berlin based Law Firm.
5. A First Ranking Legal Charge is granted over the German Listed building. This secures both the capital repayments and the contracted fixed interest payments of the UK investor. This First Legal Charge is registered in the German Land Charges Registry in favour of a Security Trustee. The Security Trustee is as German company named LADON INTERTRUST TREUHANDGESELLSCHAFT, who holds the underlying asset (the German Listed Building) on behalf of the Investors.
6. The end purpose is an off-plan sale of the German Listed Building to a German end buyer. German Citizens have access to a tax break that is granted by the German government.
7. German Tax Law (paragraphs 7i and 7hEStG of the German Income Tax Act) allows German tax payers to depreciate the costs for refurbishing/ modernising work carried out on a monument status building (a German Listed Building) over a 12 year period.
8. As a consequence of the German Tax Break described in point 6 (above) German private and commercial investors in Real Estate are highly interested in investing in such German Listed Building projects.
9. Once all sales contracts are signed with the German Buyers, the security constituted by the First Legal Charge is released to the German property buyer. The First Legal Charge is not released until the UK Investors capital and interest has been secured. Timing of the repayment of the capital and interest to the Investors is determined by the investment term that they select.
10. Renovation work does not commence on the German Listed building until it is sold to the German buyers. The UK Investors capital and interest has been secured at this stage. Timing of the repayment of the capital and interest to the Investors is determined by the investment term that they select.
C. THE INVESTMENT OPTIONS
Dolphin Capital GmbH offers two Investment options:
1. THE CAPITAL GROWTH OPTION
Investors opting for the 3 or 5 year term option may choose the Capital Growth Option. The Capital Growth Option automatically sees the Investors interest and capital rolled into new German Listed Building Projects for the duration of their chosen term – thus accessing the benefits of compound interest.
2. THE INVEST FOR INCOME OPTION
There is a second option entitled Invest for Income. As with the Capital Growth option, the Invest For Income option permits the Investor to choose either the 3 or the 5 year term. The Investors Capital is committed for the full term but interest payments are made to the Investor on a six monthly basis.
The Invest For Income option is also available for a period of 12 month for private money only. If this option is chosen, the Investor receives an interest payment after 6 months and a refund of the initial capital & balance of interest payment on the anniversary of the Investment.
